Guarantee of the Quality of the Equipment

CONTRACT: GUARANTEE. ARBITRATION

Ex. 11. Read examples 1 and 2 of typical guarantee clauses and find the matching English expressions for the following Russian ones:

1. Так как оборудование оказалось неисправным, Продавец должен устранить неполадки или заменить неисправные части за свой счет.

2. Период бесперебойной работы оборудования - один год.

3. Если дефекты не могут быть устранены, Покупатель имеет право отказаться от неисправного оборудования.

4. Вышеуказанный период будет продлен в случае задержки пуска оборудования.

5. Оборудование было произведено в полном соответствии с условиями Контракта.

6. Все транспортные расходы несет Продавец.

7. Покупатель вправе требовать от Продавца уплаты штрафа в размере 8 % от цены, уплаченной Покупателем.

8. Акт, подписанный уполномоченными представителями сторон, заключающих настоящий Контракт.

11. Освобождаться от ответственности, за полное или частичное невыполнение своих обязательств по настоящему Контракту.

Example 1.

The Seller guarantees:

6.1. That the equipment supplied and technological process, automation and mechanization are in full accordance with the highest world technical achievements and meet the highest standards for this type of the equipment existing at the time of delivery.

6.2. High quality of the materials used in the manufacture of the equipment and high quality of the manufacture and assembly.

6.3. The guarantee period is twelve (12) months from the date of the start-up of the equipment, that is reflected in an appropriate Act signed by the representatives of the Parties to the present Contract, but not more than eighteen (18) months from the date of delivery of equipment.

6.4. If the equipment proves to be defective or faulty during the guarantee period, the Seller has at its expense and at the choice of both Parties either to remedy the defects or to replace the faulty equipment with the new equipment of good quality which is to be delivered without delay to the port of delivery.
